This Legal Disclaimer applies to the Brava Finance website, public materials and information made available through Brava's software interface. It should be read together with the Website & Platform Terms of Use and, where applicable, the separate written agreement between Brava and the relevant customer.

1. Brava Labs Ltd

Brava Finance is operated by Brava Labs Ltd, a company incorporated in England and Wales with company number 15158267 and registered office at 86-90 Paul Street, London EC2A 4NE, United Kingdom.

2. Institutional technology service

Brava provides non-custodial software and technology to institutional customers. Brava is not offered as a self-service retail investment product. Commercial customers ordinarily enter into a separate written agreement with Brava before using production services.

Brava does not receive or hold fiat currency, safeguard customer private keys, take custody of customer assets, or have authority to transfer customer assets to Brava or to an arbitrary third party. Assets remain under the control of the relevant owner, custodian or wallet infrastructure.

3. No offer or investment advice

Nothing on the website or interface constitutes an offer, solicitation, invitation, recommendation or personal advice to acquire, dispose of or hold any investment or digital asset. Brava does not provide legal, tax or accounting advice through the website or public interface.

Information about protocols, pools, digital assets, yields, risk scores, portfolio construction or market conditions is provided for informational and technology purposes only. Users and their professional advisers are responsible for determining whether any strategy, protocol or transaction is suitable and lawful for them or their clients.

4. Regulatory status

Brava Labs Ltd is a technology company and does not represent that it is authorised by the Financial Conduct Authority as an investment firm, investment manager, broker, custodian or cryptoasset exchange provider. The regulatory characterisation of particular services or activities depends on the facts and applicable law and may change over time.

Regulated investment managers, custodians and other customers using Brava remain responsible for the regulatory obligations applicable to their own businesses and underlying clients.

5. No custody or control of customer funds

Brava's software may facilitate the creation, review or execution of blockchain transactions under permissions configured by the asset owner or custodian. This does not give Brava beneficial ownership, custody or unrestricted control of customer assets. Brava cannot use customer assets for its own account.

6. Third-party protocols and infrastructure

Brava integrates with or displays information about third-party blockchains, smart contracts, protocols, custodians, wallets, data providers and other services. These third parties are not operated or controlled by Brava unless expressly stated otherwise. Brava cannot guarantee their security, liquidity, availability, performance or continued operation.

7. Digital-asset risks

Digital assets and decentralised finance involve material risks. These include loss of capital, smart-contract errors or exploits, stablecoin depegging, protocol insolvency or failure, oracle failures, liquidity constraints, cyber incidents, network congestion, governance changes, regulatory changes and irreversible blockchain transactions.

Any yield, return, risk score, forecast, scenario, simulation or historical performance shown by Brava is indicative only, may be based on third-party data, may change without notice and is not guaranteed. Past performance is not a reliable indicator of future performance.

8. Trials and demonstrations

Brava may provide demonstrations, evaluations or trials to prospective or existing institutional customers. Trial functionality may be incomplete or experimental and may change or be withdrawn. Unless Brava expressly authorises otherwise in writing, a trial must not be used for production activity or live end-client assets.

Where live-asset trial use is expressly authorised, the relevant customer or custodian retains control of the assets and remains responsible for transaction approval, mandate compliance and assessment of the relevant third-party protocol risks.

9. Accuracy and availability

Brava seeks to provide useful and accurate information but does not warrant that public website content, third-party data or trial information is complete, current or error-free. Public website content may be changed at any time without notice.

10. Financial promotions and intended audience

Brava's website is directed primarily at institutional and professional audiences. Nothing on the website is intended to constitute a financial promotion to a person where that communication would be unlawful. Access to particular products, functionality or information may be restricted based on the relevant customer relationship, jurisdiction and applicable law.

11. Sanctions and unlawful use

Brava will not knowingly provide services where doing so would breach financial sanctions or other applicable law. Brava may restrict access or request proportionate counterparty information where necessary to assess a sanctions or legal risk. Customers remain responsible for sanctions, AML/KYC and customer-acceptance obligations applicable to their own underlying clients.

12. Separate customer agreements

This Disclaimer does not define the contractual rights and obligations applicable to Brava's production customers. Those rights and obligations are set out in the relevant separately executed customer agreement. If there is any inconsistency, the customer agreement prevails for the contracted services.

These third parties are not operated or controlled by Brava unless expressly stated otherwise. Brava cannot guarantee their security, liquidity, availability, performance or continued operation.
